The Trustees of Neuadd Goffa Criccieth Memorial Hall are happy to announce that they have been awarded a £7,437.51 grant by the Theatre’s Trust small grants programme, supported by the Linbury Trust. The grant will fund improvements to the theatre’s digital infrastructure by replacing outdated hardware across the building. Upgrades to the electrical cabling, addition of smart switches, and improved Wi-Fi connection will enhance the theatre’s programming and technical automation capabilities meaning a wider variety of events can take place which will benefit the local community.

Ben Rosen, Chair of Trustees, said “I am delighted that the Theatre’s Trust have made this grant to the Memorial Hall. We are the only venue in Wales to receive one in this round of grant funding. Running a community venue, particularly one that is iconic and grade II listed, is extremely difficult. This will enable us to provide the facilities that professional touring companies have come to expect. Performing arts are an integral part of Welsh culture and the Hall has been a hub for our community since 1922; this grant will make us fit for the future.”

As the administrative provisions are now in place for the Charitable Incorporated Organization known as Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) to operate Criccieth Memorial Hall/Neuadd Goffa Cricieth in place of the charity known as War Memorial Hall at Criccieth (Charity No. 511623 it is resolved that :

(1) the charity known as War Memorial Hall at Criccieth (Charity No. 511623) shall cease to run the Criccieth Memorial Hall/Neuadd Goffa Cricieth as from 31st March 2026

(2) the charity known as Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) a Charitable Incorporated Organization established in accordance with the Charities Act 2011 shall run Criccieth Memorial Hall/Neuadd Goffa Cricieth as from 1st April 2026

(3) the charity known War Memorial Hall at Criccieth (Charity No. 511623) shall transfer all its assets to the Charitable Incorporated Organization known as Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) on 31st March 2026

(4) the Transfer Agreement between the 2 charities be dated 31st March 2026

(5) the Transfer deed of the Hall from Criccieth Town Council as Custodian Trustee for the charity known as War Memorial Hall at Criccieth (Charity No. 511623) to the Charitable Incorporated Organization known as Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) be dated 31st March 2026.

The hall committee wishes to give notice that the Annual General Meeting of the Memorial Hall will take place on Wednesday 24th September 2025 at 7pm in the main hall.

NOTICE OF SPECIAL RESOLUTION

The charity known as War Memorial Hall at Criccieth (Charity No. 511623) has operated as an unincorporated association since it was established in 1980.

In conversations during the past few years with advisers and grant providers, it became apparent that in order to develop for the future the charity should become an incorporated body. Accordingly and in pursuance of the Resolution at the 2024 Annual General Meeting, a Charitable Incorporated Organization by the name of Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) was formed with
a majority of the Trustees of the present Charity No. 511623 acting as the first Trustees of the new body.

The intention now is to dissolve Charity Number 511623 in its present form and transfer its assets to the new Charitable Incorporated Organization (Charity No. 1213288) and as you will see from the Agenda there will be a Special Notice to this effect at the Annual General Meeting to be held at the Memorial Hall on Wednesday 24 September at 7.00pm.

SPECIAL RESOLUTION

“As the present Trustees of the charity known as War Memorial Hall at Criccieth (Charity No. 511623) confirm

(A)that the Charitable Incorporated Organization known as Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) was established

(a) to provide the protection of limited liability for the charity trustees,

(b) to minimise risk and

(c) to better enable the charity to develop in the future by being able to access opportunities and sources of funding that may be unavailable to unincorporated charities

and

(B) that transferring the assets of the charity known War Memorial Hall at Criccieth (Charity No. 511623) to the Charitable Incorporated Organization known as Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) is in best interests of the charity

IT IS RESOLVED

(1) that the charity known War Memorial Hall at Criccieth (Charity No. 511623) be dissolved on 31 st March 2026 (or such other date which the Trustees in their discretion consider appropriate)

(2) following the dissolution of the charity known War Memorial Hall at Criccieth (Charity No. 511623) that all its assets be transferred to Neuadd Goffa Criccieth War Memorial Hall (Charity No. 1213288) a Charitable Incorporated Organization established in accordance with the Charities Act 2011

(3) that the Trustees of the charity known War Memorial Hall at Criccieth (Charity No. 511623) are entitled to sign any documents needed to implement the above.
